Adam Connatser helps clients negotiate, document and close business transactions, ranging from formations and financings to combinations and restructurings. Mr. Connatser also advises clients so that they better understand the risks of proposed transactions in light of the complex legal landscape applicable to modern businesses.
Mr. Connatser has handled a wide variety of business matters and has particular experience in representing investors, including equity investors, mezzanine funds, small business investment companies and senior lenders.
Representative Matters:
- Acquisition, by a new company formed by a publicly traded business development company, of the assets of a textile manufacturer, and financing of the same by such business development company in the form of preferred stock, senior and junior subordinated notes, term A and term B loans and a revolving credit facility.
- Purchase by a small business investment company and an individual, in the context of a private equity buyout, of over $5,000,000 of senior subordinated notes of a magazine publisher and approximately 6 percent of the convertible preferred stock and warrants to purchase over 11 percent of the common stock of such publisher’s parent company.
- Investment by a publicly traded commercial finance company in a consumer product distributor in the form of a $30,000,000 senior secured syndicated credit facility and warrants to purchase 5 percent of such distributor’s common stock.
