Allan Goldstein’s practice focuses on real estate finance, commercial development and real estate investments. Specifically, Mr. Goldstein represents developers and owners of real estate in connection with the acquisition, financing, developing, leasing and disposition of real estate projects, while also advising equity investors in a wide variety of real estate projects and landlords and tenants in commercial leasing transactions. He has significant experience in the hospitality industry, representing hotel owners in the acquisition, finance, operation and disposition of hotel projects and the negotiation of franchise and management agreements.

In addition, Mr. Goldstein assists clients in a number of lending transactions. He represents banks, savings and loan associations, insurance companies and other financial institutions, as well as borrowers, in connection with a broad range of financing transactions, including the financing of real estate projects (their acquisition, construction and permanent financing). In connection with such lender representation, he has significant experience in loan workout transactions, structuring and implementing deed in lieu of foreclosure transactions and the enforcement of lender’s rights, including foreclosure and receivership proceedings. He also has significant experience in the representation of lenders in the acquisition and sale of pools of loans.

Mr. Goldstein has extensive experience in creating limited liability companies, partnerships and other entities (including the drafting of limited liability company operating agreements, partnership agreements, shareholder agreements and other such agreements) for the acquisition, ownership and/or disposition of real estate.

Before joining Patton Boggs, Mr. Goldstein was an equity partner for an Atlanta-based AmLaw 100 firm in one of its DC-area offices. His more than 20 years of experience working for major law firms is preceded by his service as a trial attorney in the tax division at the U.S. Department of Justice (DOJ) and his work in the chief counsel’s office at the U.S. Customs Office.

  • Represented lender in the acquisition of more than $100 million in loans.
  • Represented borrower in a $200 million revolving- and term-loan facility.
  • Represented lender in foreclosure of $108 million loan secured by 392 unit multifamily project.
  • Represented lender in workout/restructure of more than $200 million in loans.
  • Represented lender in receivership proceedings and foreclosure in connection with a $45 million construction loan on a partially-completed retail project.
  • Representation of hotel owner/operator in creation of a $70 million equity fund for the acquisition of hotel projects, and the acquisition of several hotel projects located throughout the United States.
