Alan Talesnick counsels clients on securities law matters, including private and public offerings, public disclosure, SEC reporting and compliance, corporate governance (including Sarbanes-Oxley), mergers and acquisitions, and business transactions. This work includes assistance in negotiating, structuring, drafting, and reviewing the documents related to these activities. Mr. Talesnick works closely with, and provides ongoing legal advice to, company management and boards of directors with respect to these matters.
Mr. Talesnick represents clients ranging from listed mid-cap and micro-cap publicly-traded companies to emerging growth companies, closely-held business entities, and private equity funds and investors, both on an ongoing and a transactional basis. These include companies involved in wireless, telecommunications, software, and other technologically-oriented businesses; oil and gas; manufacturing and other industrial sectors; health care and biotech; investment banking; real estate; property and casualty insurance; retail and wholesale consumer products; marketing and distribution; and mining. The publicly-reporting entities have been traded on the New York Stock Exchange, American Stock Exchange, NASDAQ, OTC Bulletin Board, and Pink Sheets.
Before joining Patton Boggs, Mr. Talesnick was a securities and corporate finance partner in one of Denver’s largest law firms. He also was a founding partner in a securities and corporate boutique firm which provided complex legal services in a cost-effective manner. He has continued this emphasis at Patton Boggs.
