David Mayer provides business-oriented advice relating to the purchase, sale, financing, leasing and operation of diverse types of personal property, projects and other assets. He focuses on wind power, natural gas storage facilities and equipment used in the energy industry. His practice also covers transportation assets (particularly business aircraft), vendor financing and technology equipment/software.

Mr. Mayer regularly participates in or leads multi-disciplinary legal/business teams. He structures, negotiates and drafts documents in related transactions. Mr. Mayer played a key role in structuring and drafting, and has written several articles about, a leading edge form of pad/base gas lease and intercreditor agreement used in project financing of gas storage facilities. 

Mr. Mayer speaks at conferences on a wide range of current topics, and has been a prolific writer since 2001 when his book, “Business Leasing for Dummies,” was published. In January 2002, he founded “Business Leasing and Finance News” (formerly “Business Leasing News”), an online newsletter that offers business and legal analysis relevant to financing. He writes in a clear, concise and useful manner. With readers in approximately 33 countries, Mr. Mayer takes complex concepts and makes them easy to understand. 

Representative Matters
  • Represented lessor in $40,000,000 lease of pad/base gas in a natural gas storage facility and related $140,000,000 project financing for the Caledonia storage facility.
  • Represented the lessor and lenders in connection with several related transactions totaling more than $160,000,000 with respect to the Monroe storage facility.
  • Represent developer in all aspects of financing and developing a 150 MW wind generation facility with a total cost of approximately $270,000,000.
  • Represented lenders regarding all Texas matters in a 150 MW wind generation facility located in Nolan and Taylor Counties, Texas – called the Desert Sky Wind Farm Wind Project.
  • Represented lenders regarding all Texas matters in a 37.5 MW megawatt wind generating facility consisting of 52 wind turbines located in Nolan County, Texas – called the Sweetwater Wind Project (Phase I).
  • Represented lenders regarding all Texas matters in a 150 MW wind generation facility located in Nolan and Taylor Counties, Texas – called the Trent Mesa Wind Farm Wind Project.
  • Represented lenders regarding all Texas matters in a 160 MW wind turbine project located in Borden, Garza, and Scurry Counties, Texas – called the Brazos Wind Project.
  • Represented lenders regarding all Texas matters in an 80 MW wind energy generating facility located near Amarillo in Carson County, Texas – called the White Deer Project.
  • Represented lenders regarding an 80 MW wind generating facility located in Worth County, Iowa (assisted and directed Iowa counsel) – called the Top of Iowa Project.
  • Represented lenders regarding all Texas matters in a 135 MW wind generating facility consisting of 90 wind turbines located in located in Nolan County, Texas – called the Texas Sweetwater Wind Project (Phase III).
  • Represented developer in evaluating, drafting and revising letters of intent, financing proposals and project documents for domestic and international thermal energy projects.
  • Represented developer in all aspects of developing and project financing of combined cycle cogeneration plant located in California with an original cost of approximately $40,000,000.
  • Represented a Texas bank in a bankruptcy involving the lease of equipment used in a specialized hospital.
  • Represented a lessor in the leasing and financing of health care equipment for specialized doctor-owned or operated acute care facilities.
  • Represented a lessor in a lease of high-technology equipment to the European Commission.
  • Represented a manufacturer in private label vendor financing/leasing program agreements.
  • Represented a purchaser of a Boeing 747SP from the king of a Middle Eastern country.
  • Represented a Middle Eastern country in the purchase of a $16,000,000 helicopter that was given to the president of another country in the region.
  • Represented a lender in secured a loan and like-kind exchange involving a Gulfstream IV aircraft (and many similar lease and loan transactions).
  • Represented buyers of fractional shares of business aircraft from Flexjet and NetJets.
  • Represented lessee in a workout involving one of GM’s largest dealerships.
