Jay Baker counsels clients on a broad range of structured, Islamic, and general corporate finance issues as well as general corporate matters.
Mr. Baker’s practice focuses on representing asset managers, lenders, and financial institutions and he advises clients that are involved in various industries, including energy, banking, insurance, hedge fund, and general financial services. Mr. Baker helps lenders, issuers, and servicers/collateral managers in connection with complex structured finance transactions involving CDOs and other ABS and securitizations as well as a broad range of structured and traditional lending products. Additionally, Mr. Baker has significant experience representing traditional lenders in connection with investments structured to be compliant with the principles of Shari’ah under Islamic law, including ijara, murabaha, and sukuk-based facilities. Mr. Baker has also advised numerous lenders and investors in connection with their senior and subordinated/mezzanine debt investments, debt work-outs and restructurings, preferred stock, control and minority equity purchases, warrant and other “equity kicker” investments, syndicated bank facilities, asset-backed loans, multi-lender/purchaser transactions, and loans involving complex and multi-jurisdictional collateral.
Representative Matters
- Ongoing work-out and restructuring of separate murabaha and sukuk-based Shari’ah compliant transactions.
- Represented originator/issuer in connection with numerous public and private ABS issuances, including transactions backed by auto loans, commercial mortgages, and middle market loans, together with the on-going management and servicing related to those facilities.
- Represented originator/borrower in connection with warehouse lending facilities totaling more than $5 billion together with the restructuring of certain of those facilities due to adverse market conditions.
- Represented numerous collateral managers in connection with initial documentation of CDO warehouse arrangement and subsequent bond issuance and close; due to adverse market conditions certain of the structures did not close, requiring innovative solutions to orderly conclude the warehouse arrangements.
- Represented large financial institution and insurance company in connection with documentation of multi-national, multi-tranched Shari’ah compliant ijara and murabaha facility for US and UK-based light manufacturing company.
