Phillip Blackmon represents developers, lenders, and investors on all aspects of commercial real estate transactions, including the acquisition and disposition of properties, joint ventures, 1031 exchanges, financing, and leasing. He assists clients with entity formation and the structuring of real estate transactions from both a legal and business perspective.

Mr. Blackmon’s practice also focuses on the negotiation and drafting of hotel and resort management agreements for condominium hotels and mixed-use projects and other legal aspects of hotel and resort development and operations.

Representative Matters
  • Represented joint venture partner in purchase of $106 million, approximately 188,000 square foot office building in Washington DC. Representation included the drafting of various portions of the purchase and sale agreement, due diligence, closing documents, joint venture agreement and lease, as client also leased a large portion of the building.
  • Represented national bank in $8 million revolving facility for land acquisition and residential development and $3 million loan to finance issuance of letters of credit in favor of local jurisdiction. Subordinated debt of $2 million and $1.5 million necessitated the drafting and negotiation of subordination and forbearance agreement executed by all parties.
  • Represented property owner in $27 million sale of membership interests of single purpose limited liability company owning approximately 375,000 square feet of industrial building in 1031 Exchange.
  • Represented purchaser in $31 million purchase of two office buildings in Austin, Texas, including representation of purchaser in the second phase of a reverse 1031 Exchange.
  • Represented bank on real estate matters in connection with the $250 million sale of substantially all of bank’s assets, including the sale of 31 branches and assignment and termination of 11 leases.
  • Represented multi-member limited liability company in $35 million acquisition and $20 million acquisition/loan of professional park consisting of numerous buildings on approximately 6 acres of land.
  • Represented corporation in formation and drafting of corporate documents and defining allocation of responsibilities of shareholders. Aspects of the entity formation and operating agreement were reported in the Wall Street Journal.
  • Represented hotel owner in negotiation of hotel franchise documents in connection with four-star hotel to be constructed in the Middle East.
  • Represented Middle East investor in contemplated investment in Northwest resort and golf property, including the review and negotiation of hotel and golf course license agreements.
