Richard Andersen has nearly three decades of experience in domestic and international transactional tax matters. His knowledge of both tax and international law enable him to counsel U.S. and international clients on a wide variety of tax, transactional and financing issues.
Mr. Andersen has extensive experience representing clients in domestic and international corporate reorganizations; acquisitions and divestitures; joint ventures and technology transfers; commercial, asset-based and structured finance; securities offerings and other corporate finance transactions; project financings and privatizations; and private equity and investment funds. In addition, Mr. Andersen regularly counsels clients with regards to general corporate, partnership, financial products and international tax matters, and the tax aspects of restructurings and reorganizations in and out of the bankruptcy courts.
He assists clients with advice, the delivery of opinions and negotiation of tax-related documentary provisions relating to corporate organization, mergers, stock and asset purchases, spin-offs and joint ventures involving both public and private U.S. and foreign companies. Mr. Andersen also advises on tax-efficient structured financings for sponsors and equity participants in the U.S. and international capital markets. For private investment partnerships and other pooled investment vehicles, he advises on tax issues associated with their formation, operation, funding and dispositions.
For clients with international operations, Mr. Andersen provides advice on U.S. and foreign tax aspects of real estate acquisitions and dispositions, “greenfield” business operations, corporate mergers and acquisitions and international infrastructure projects, including structuring development vehicles and financing arrangements, U.S. and foreign withholding tax issues relating to cross-border cash flows and tax-efficient investor exit mechanisms.
For individuals and families of means, he has advised on the formation of global investment structures that provide tax efficiency and asset security, as well as on the growing reporting and disclosure obligations of financial institutions and their individual account holders.
Mr. Andersen teaches international tax law in the Graduate Tax Program of New York University School of Law. Fluent in French and German, he has written or co-authored numerous articles on international tax matters; treatises covering the foreign tax credit, foreign investment in U.S. real estate and the U.S. income tax treaty network; and portfolios dealing with FIRPTA and U.S. withholding taxes on foreign persons.
