Charlie Miller is the Deputy Managing Partner firm-wide and a member of the firm’s Management Committee, as well as an ex-officio member of the firm’s Executive Committee.

Mr. Miller counsels financial institutions, private equity funds, hedge funds, mezzanine and equity funds, and other institutional investors on matters involving mergers and acquisitions, structured and project financings, acquisition financings, recapitalizations, restructuring and reorganizations, and other complex business transactions.

Mr. Miller has also served as counsel to the independent directors of numerous publicly-traded and private companies in connection with their restructuring, reorganization and recapitalization, and has advised investment banks in connection with fairness opinions for both public and private mergers and acquisitions.

Since joining the firm, Mr. Miller has been responsible for the formation and funding of over $100 billion in structured financings, such as asset and loan securitizations, CLOs, CBOs, CDOs, and other structured financing products.   Notably, he led the legal team in charge of Blue Wolf Capital Management LLC’s acquisition of Montauk Energy Capital LLC, an acquisition which received Small Deal of the Year for 2006 from Buyouts magazine (for transactions up to $200 million).

Mr. Miller has represented one of the largest independent, publicly-traded Texas national banks since 1998, advising the bank on its formation, private and public equity offerings, and ongoing banking and securities regulatory matters.  In 1990, Mr. Miller was a co-founder of a telecommunications company.

Before joining the firm, Mr. Miller was an executive officer of a publicly-traded telecommunications company and founded and operated several other privately-held companies.  His experience in establishing and running businesses provides Mr. Miller with a distinct perspective on the challenges faced by businesses today.
