Dean Dilley, former chairman of Patton Boggs’ Business Law practice group, assists clients on matters involving international transactions, government contracts, and litigation.  Mr. Dilley advises foreign companies and sovereign governments with interests in the United States, as well as U.S. companies with interests abroad.  He also represents U.S. and foreign companies in connection with contracts awarded by the U.S. and other governments.

Mr. Dilley has represented several foreign governments in connection with international commercial transactions, international arbitration and litigation, military procurement matters, and defense cooperation agreements with the United States.  This work has included multinational litigation on behalf of sovereign states and public officials; contract negotiations for large infrastructure projects, health care, and education facilities; negotiating and administering bilateral military access agreements; legal issues concerning the transfer of weapons, U.S. military aid, and the funding of joint-use military infrastructure; U.S. export control issues; renegotiation of foreign military sales debt; legal issues arising under Status of Forces Agreements; and a wide variety of procurement issues related to purchases, leases, and other transfers of goods and services acquired by sovereign states.

In addition to the representation of foreign governments, Mr. Dilley maintains an active government contracts practice, and represents clients involved in procurement by most federal agencies.  He has been extensively involved in the preparation, negotiation, and litigation of contract claims; government contract cost accounting and allowability issues; subcontract transactions; mergers and acquisitions involving government contractors; privatization of government enterprises; the transfer of rights in data and computer software; foreign military sales transactions and related disputes between contractors and foreign sovereigns; and export licensing for armaments, spacecraft, and related intellectual property.

Before joining Patton Boggs, Mr. Dilley was an attorney with the General Counsel of the Air Force in the Pentagon, where he provided legal counsel in connection with a wide variety of government contracts matters, procurement policy, and Congressional liaison.  He regularly provided legal counsel to procurement officials concerning pre-award contract planning and source selection procedures; protests and other contract award challenges; post-award contract administration issues; cost accounting and audit matters; application of procurement-specific statutes and regulations; specialized problems arising from procurement of major weapons systems; and international transactions related to Foreign Military Sales and the placement of U.S. military facilities or equipment outside of the United States.  He also served as counsel to the Air Force Debarment and Suspension Review Board, and counsel to the Extraordinary Contractual Relief Board.

Representative Matters:
  • Represented Canadian spacecraft manufacturers in successfully pursuing contract claims related to convenience terminations under U.S. military procurements.
  • Lead counsel to a sovereign state in the successful identification, freeze and recovery of substantial state assets misappropriated by former government officials. This included simultaneous proceedings in nine sovereign jurisdictions, coordination with parallel criminal prosecutions, a worldwide forensic audit, the entry of multiple injunctions in major banking jurisdictions to freeze misappropriated assets, and ultimate recovery for the state.
  • For a sovereign state, led the competition, award and contract negotiation for a comprehensive national healthcare enhancement project.
  • Represented a major U.S. air carrier in successful litigation to recover possession of 747 aircraft from an insolvent lessee.
  • On behalf of contractors, successfully resolved numerous U.S. government procurement fraud investigations, and parallel debarment, criminal and civil false claims proceedings.
  • Legal counsel to the Egyptian Ministry of Defence in handling contract disputes, international arbitration and litigation involving military contractors.
  • Legal advisor to the Qatar Foundation, a charitable organization in the State of Qatar, in drafting and successfully negotiating agreements that established in Qatar branch campuses of the Weill Cornell Medical College, the Virginia Commonwealth University, Texas A & M University, and the Carnegie Mellon University.
  • Representing sovereign states in the Middle East, drafted and advised in the negotiation of access agreements and status of forces agreements for U.S. military forces.
  • Represented a sovereign state in resolving a complex Foreign Military Sales dispute with the U.S. involving the purchase of a number of F-16 aircraft.
  • Prepared licensing agreements to protect software and other intellectual property for a U.S. software developer distributing its products in foreign markets.
