Mr. Mayer represents and advises clients in secured lending, project financing, leasing, equity investments, acquisitions and sales in a wide range of energy, infrastructure and other asset-based transactions. In energy, he focuses on renewable energy and natural gas-fired electricity generation. Mr. Mayer’s infrastructure practice covers such projects as electric transmission, gas pipelines and natural gas storage and tollways.
Nationally known for his comprehensive expertise in equipment financing, Mr. Mayer’s work encompasses most transactions pertaining to business aviation, energy assets, vendor programs, technology equipment/software and other heavy equipment.
Before joining Patton Boggs, Mr. Mayer practiced law for 14 years as corporate counsel. He represented and advised clients on the development, construction, project financing and operation of gas-fired electric generating plants as well as the financing of many other types of assets.
Mr. Mayer uses his overall experience to offer business insight, industry knowledge and practical solutions to meet client needs in domestic and international matters. His international work frequently involves inbound and outbound cross-border transactions between the U.S. and one or more other countries.
Since 2001, when his book “Business Leasing for Dummies” was published, Mr. Mayer has been a valued conference speaker on a wide range of current topics, including renewable energy, business aviation, international finance, natural gas storage and equipment finance. In 2002, he founded Business Leasing and Finance News, an online finance newsletter with subscribers in approximately 33 countries. BLFN analyzes current issues to help its readers make money in rapidly changing markets and to enhance their risk management.
Representative Matters
Natural Gas Storage/Infrastructure
- Represented lessor in $40 million lease of pad/base gas in a natural gas storage facility and related $140 million project financing for the Caledonia storage facility.
- Represented the lessor and lenders in connection with several related transactions totaling more than $160 million with respect to the Monroe storage facility, including novel intercreditor agreement.
- Represented developer on a all-inclusive bid to construct and operate a tollway in Plano, Texas valued at approximately $3.2 billion.
Renewable Energy
- Advises sponsors of mid-sized wind energy projects, including development, construction, operation, acquisition, leasing and financing of such projects.
- Advises sponsors of solar energy projects on financing alternatives for, and development of, solar projects to be located in Texas.
- Represented lenders in aspects of restructure and sales of Texas wind projects with aggregate cost in excess of $600 million.
- Represented lenders regarding all Texas matters in a: 150 MW wind generation facility located in Nolan and Taylor Counties, Texas – Desert Sky Wind Farm Wind Project; 37.5 MW wind generating facility consisting of 52 wind turbines located in Nolan County, Texas – Sweetwater Wind Project (Phase I); 150 MW wind generation facility located in Nolan and Taylor Counties, Texas – Trent Mesa Wind Farm Wind Project; 160 MW wind turbine project located in Borden, Garza and Scurry Counties, Texas – Brazos Wind Project; 80 MW wind energy generating facility located near Amarillo in Carson County, Texas – White Deer Project; 80 MW wind generating facility located in Worth County, Iowa (assisted and directed Iowa counsel) – Top of Iowa Project; and 135 MW wind generating facility consisting of 90 wind turbines located in Nolan County, Texas – Texas Sweetwater Wind Project (Phase III).
Business Aviation
- Represents buyers, sellers, brokers and other parties in a wide range of domestic and international business aircraft transactions, including purchases, sales, financing, operation, modifications, repairs, compensation, incidents and accidents, together with Cape Town, non-U.S. and FAA registrations and various disputes.
- Represented a purchaser of a Boeing 747SP aircraft in corporate configuration from the king of a Middle Eastern country.
- Represented a Middle Eastern country in the purchase of a $16 million helicopter that was given to the president of another country in the region.
- Represented a lender in secured a loan and like-kind exchange involving a Gulfstream aircraft (and many similar lease and loan transactions).
- Represented buyers of fractional shares of business aircraft from Flexjet and NetJets.
Equipment Finance/Workouts
- Represented a manufacturer in private label vendor financing/leasing program agreements relating to the public and private sectors.
- Represented lessor in lease of German printing presses.
- Represented lessors in car fleet leasing program.
- Represented a lessor in a lease of high-technology equipment to the European Commission.
- Represents a commercial aircraft parts buyer from a major U.S. airline.
- Represented a lessor in the financing and work-outs of health care equipment for specialized doctor-owned or operated acute care facilities.
- Represented lessee in a workout involving one of GM’s largest dealerships.
Natural Gas-Fired Electricity Generation
- Represented developer in all aspects of developing and project financing of combined cycle cogeneration plant located in California with a cost of approximately $40 million.
- Represented developer in evaluating, drafting and revising letters of intent, financing proposals and project documents for domestic and international thermal natural gas-fired electric energy generation projects.
