David Mayer helps clients structure, negotiate, draft and close leases, secured loans, asset purchases and sales, and various other financing transactions, joint ventures and other corporate arrangements. He devotes a substantial part of his practice to leasing and financing business aircraft, healthcare facilities and other personal property. Mr. Mayer is also actively involved in business workouts and restructuring deals. He often advises senior management on developing new products and enhancing business operations.

  • Represented a lessor in financing Falcon 2000 in a cross-border lease transaction.
  • Represented a lender in secured loan and like-kind exchange involving a Gulfstream IV aircraft.
  • Represented a lessor in a leveraged lease of Gulfstream III aircraft.
  • Represented a lessor in a lease of high-technology equipment to the European Commission.
  • Represented a manufacturer in structuring and closing a federal master purchase agreement for federal leasing of goods to the federal government.

  • Represented lenders in a $175 million synthetic lease to a major U.S. chemical production company of a new facility expansion to increase output.
  • Represented a lessor in leveraged lease of 30MW cogeneration project financing located at the Agnews Development Center in San Jose, California, with an original cost of $40 million.
  • Represented a lessor in a single-source lease to a regional railroad of locomotives to operate a start-up railroad and representation of lessor in a cross-border lease to a major railroad of rail cars for use in the U.S. and Canada.
  • Represented owner in $30 million fleet bareboat charter party of seven supply vessels.
  • Representation of $11 million leveraged lease of lighting, sound and stage equipment for the production of live Broadway musical productions.
  • Represented lessors in technology lease of ventured-back high-technology and biotechnology companies of scientific testing, laboratory, electronic equipment, as well as furniture, fixings, and office equipment.
  • Represented a lessor in facility/equipment lease to a major U.S. steel corporation of a scarfing facility and ancillary equipment.
  • Structure, draft, negotiate and otherwise participate in operating lease of a Boeing 737 to Southwest Airlines, Inc. (lessor as client).
