David Teeples advises clients on business matters involving securities offerings, mergers and acquisitions, and federal and state banking issues.
Mr. Teeples counsels companies operating throughout the United States on initial and secondary public offerings and private placements of debt and equity securities, with an emphasis on financial institutions. These offerings include common stock, preferred stock, debt securities, convertible debt and equity securities, warrants, and hybrid instruments, such as trust preferred securities. Mr. Teeples also represents selling stockholders and investment banks with respect to each of these transactions.
In addition, Mr. Teeples facilitates mergers, acquisitions, asset sales and acquisitions, leveraged and management buyouts, and other corporate reorganizations. He also provides general counseling and assistance on anti-takeover and tender offer defenses, regulatory and compliance matters, and tax and business planning, and advises boards of directors and insiders with respect to corporate governance issues and compliance with federal securities laws.
