Jaynacia Abraham advises clients in the financial services industry on state and federal regulatory compliance issues and corporate finance matters.
Ms. Abraham’s practice focuses on laws and regulations governing mortgage lenders, mortgage brokers, financial institutions, consumer finance companies and homebuilders. Her practice focuses on advising clients regarding state and federal licensing and approval requirements, including those related to stock and asset acquisitions. Ms. Abraham also counsels clients on industry-specific laws concerning advertising, disclosures, record retention, business practices and corporate governance.
Ms. Abraham has also represented financial institutions in corporate and commercial finance transactions, including acquisition financing, asset-based lending, mezzanine credit facilities and equity financing.
Ms. Abraham is also actively involved in pro bono representation in the area of immigration law.
Representative Matters:
- Assisted with the loan repurchase strategy for a major financial institution.
- Assisted with the diligence of a national lender/servicer for a potential acquirer.
- Assessed the regulatory impact of an installment purchase program for an investment property platform.
- Assisted with the analysis of the regulatory impact of the Dodd-Frank Act on the Truth in Lending Act.
- Assisted with the representation of senior lender in a $50 million dollar syndicated asset-based lending transaction with a telecom services company.
- Assisted with the representation of senior lender in a $35 million dollar asset-based lending transaction with a wholesale lubricants distributor.
