Jay Baker counsels clients on a range of corporate finance issues, as well as general corporate matters.

Mr. Baker’s practice focuses on asset manager, lender and financial institution representation, and he advises clients in a broad range of industries, including CDO collateral management, ABS issuers, securitized lenders, banking, insurance, private investment funds, Small Business Investment Companies (SBICs), and general financial services. Mr. Baker also helps issuers and servicers/collateral managers in connection with structured finance transactions involving CLOs, CBOs, and other ABS and securitizations. Mr. Baker has advised numerous investors in connection with their senior and subordinated/mezzanine debt investments, debt restructurings, preferred stock, control and minority equity purchases, warrant and other “equity kicker” investments, syndicated bank facilities, asset backed loans, multi-lender/purchaser transactions, and loans involving complex and multi-jurisdictional collateral. Additionally, Mr. Baker has experience representing private investment funds in connection with SBIC formation, representation before the U.S. Small Business Administration, and select borrower and general corporate representation.

Representative Matters:
  • Represented several issuers and affiliated servicers in connection with automobile and commercial loan-backed securities and related warehouse/conduit facilities totaling approximately $3 billion in 2003.
  • Recently represented collateral managers in connection with establishing new CDOs and new investment management entities as well as restructurings and collateral dispositions related to existing CDOs.
  • Recently represented global insurance company in connection with investments and proposed investments in specialty drink, plastic container, paint manufacturing, and medical supply businesses that averaged approximately $20 million per investment.
  • Recently represented global non-bank lender in connection with $90 million asset-based financing to regional grocery store chain.
  • Has represented numerous insurance companies, bank and non-bank lenders, and private investment funds, including SBICs, in connection with their debt and equity investments and workouts.
