Jeffrey Haas counsels clients on corporate and securities matters, bank regulatory issues, executive compensation and employee benefits and corporate governance matters.

Mr. Haas counsels companies operating throughout the United States, with a particular emphasis on financial services companies, including banks, savings institutions, mortgage and specialty financial companies, credit unions, insurance companies, broker-dealers and investment funds, on issues involving initial and secondary public offerings and private placements of debt and equity securities. These include offerings of common stock, preferred stock, debt securities, convertible debt and equity securities, warrants and hybrid instruments such as trust preferred securities. Mr. Haas also represents selling stockholders and investment banks with respect to all of the foregoing transactions.

In addition, Mr. Haas facilitates mergers, acquisitions, asset sales and acquisitions, leveraged and management buyouts and other corporate reorganizations. He also provides general counseling and assistance on anti-takeover and tender offer defenses, regulatory and compliance matters and tax and business planning.

Mr. Haas speaks frequently on corporate and securities issues, and has contributed to various publications devoted to bank regulatory, corporate governance and securities matters. Mr. Haas is also a chartered financial analyst.
