James Muchmore advises clients on corporate, transactional and securities law matters, providing ongoing legal advice to publicly- and privately-held corporations, company management, boards of directors and private funds. He also provides counsel regarding federal securities laws, public and private offerings, mergers and acquisitions, business transactions and corporate governance.
Mr. Muchmore counsels clients in connection with a variety of securities law matters, including the preparation of registration statements, annual reports, proxy statements and other Exchange Act and Securities Act reports; quality control and disclosures under the Sarbanes-Oxley Act of 2002; responses to Securities and Exchange Commission (SEC) and FINRA inquiries regarding issuer conduct and disclosure; and advice regarding private equity fund formation.
Mr. Muchmore also works with the firm’s Environmental Law Group, where he monitors ongoing industry developments and programs and advises entities on the accessibility of public and private funding sources. Mr. Muchmore frequently participates in industry-related seminars and programs.
