Joe Passaic advises clients on a wide range of corporate, securities and regulatory issues. He has extensive experience spearheading major transactions in all areas of business dealings and in capital markets involving venture financing, IPOs, private placements, corporate restructurings and mergers and acquisitions.
As the technology sector has expanded nationally and in the Northern Virginia corridor, Mr. Passaic's transactional and securities practice has expanded to now provide strategic advice to technology companies at various stages of their corporate existence from the start-up and first-round financing needs, through the public offering stage and eventually, the sale of the company. Mr. Passaic represents a variety of technology companies focusing on the Internet, the business-to-business sector and telecommunications infrastructure. He also represents venture funds, public underwriters and financial advisors and consultants.
Mr. Passaic also counsels financial intermediaries including financial institutions and specialty finance, insurance, investment banking, and real estate companies before federal and state regulatory agencies. Mr. Passaic advises clients on a wide range of bank regulatory matters and helps them to implement Internet strategies with respect to privacy issues, affiliate transactions, revenue sharing and co-branding relationships, as well as the development of online financial services and products.
Prior to joining the firm, Mr. Passaic was a partner at a Washington, DC law firm specializing in financial services. Prior to entering private practice, he served as senior attorney in the Office of the General Counsel for the Federal Deposit Insurance Corporation.
Mr. Passaic has lectured at various financial institutions seminars, served on the editorial board of the Banking Law Report and co-authored a banking treatise entitled Banking Law in the United States. Mr. Passaic has also taught business and commercial law as adjunct professor at the Georgetown University School of Business.
