Jeffrey Smith counsels clients on complex domestic and international business transactions. He develops creative solutions to unique and multifaceted transactions.

Mr. Smith’s experience and education enhance his ability to turn problems into opportunities, as he assists clients by applying his understanding of business, financial, accounting and legal aspects of business relationships. Mr. Smith counsels clients through all phases of business transactions, including providing due diligence, planning, drafting, negotiating and strategic counsel services. He has worked in a wide variety of industry sectors, and advises clients on a range of matters involving high technology, software, oil and gas, telecommunications, energy, life sciences and environmental services.

Mr. Smith has represented large and small corporations on many types of transactional documents, including partnership agreements, shareholder agreements, purchase and sale agreements, merger agreements, project finance agreements, loan agreements, license agreements, employment agreements and consulting agreements.

Mr. Smith’s Native American practice includes counseling Indian tribes and developers in connection with complex business transactions, including unique transactions that have not previously been attempted or consummated. Mr. Smith has provided due diligence, planning, drafting, negotiating and strategic counseling services to tribes and developers in connection with Indian gaming projects, including assistance with Tribal-State Gaming Compacts, local government MOUs, development agreements, management agreements, financing agreements, real estate agreements, and construction agreements as well as recognition, land acquisition, and land claim projects.

Mr. Smith has provided guidance to clients seeking to understand and manage the complex relationships between federal, state, local and Indian legal issues and business transactions affected by such legal issues. He has also assisted clients in evaluating and complying with federal, state, local and tribal environmental review laws and procedures, and has guided clients with regard to litigation, public policy, public relations and federal, state and local legislative issues which arise in business transactions.
