Kari Grzych counsels institutional clients such as private equity funds, hedge funds and other pooled investment funds in connection with fund formation and operations and compliance with federal and state securities laws and regulations, including federal and state investment adviser registration and compliance. Ms. Grzych also represents private funds and public and private companies in a wide range of transactions, including mergers and acquisitions, leveraged buyouts, control and minority equity investments, senior and mezzanine debt financing, venture capital investments and recapitalization transactions. Ms. Grzych also has an active finance practice, representing banks, finance companies and other capital providers in connection with structured financial transactions involving commercial loans, asset-based lending, acquisition financing, mezzanine and equity financing and restructurings.
