Kevin Houlihan advises clients on corporate and securities matters, bank regulatory issues, executive compensation, and employee benefits and corporate governance matters.
Mr. Houlihan counsels companies operating throughout the United States, with a particular emphasis on financial services companies, including banks, savings institutions, credit unions, broker-dealers, and investment funds on issues involving mutual-to-stock conversions, initial and secondary public offerings, subscription rights offerings, and private placements of debt and equity securities. These include offerings of common stock, preferred stock, debt securities, convertible debt and equity securities, warrants and hybrid instruments such as trust preferred securities. Mr. Houlihan also represents investment banks with respect to all of the foregoing transactions.
In addition, Mr. Houlihan facilitates mergers, acquisitions, asset sales and acquisitions, and other corporate anti-takeover and tender offer defenses, regulatory and compliance matters, and tax and business planning.
