Michael Palmer advises public and private companies, governments and other nonprofit employers on human resource management issues, with particular emphasis on all legal and tax matters related to the design, implementation, and operation of employee benefit plans, including pension and retirement plans, health and welfare benefit plans, benefit trusts, ESOPs, nonqualified deferred and equity-based compensation programs, and general compensation practices. He assists clients with a broad range of ERISA issues, including issues relating to fiduciary obligations and liability, conflicts of interest and prohibited transactions. His experience also includes assisting clients with investments and compliance with ERISA’s plan asset rules. Mr. Palmer also devotes a significant portion of his practice to mergers and acquisitions, advising clients with respect to orderly worker transitions and in regard to the restructuring of compensation and benefit plans and programs and workplace policies and practices.
Prior to joining Patton Boggs, Mr. Palmer served as a judicial law clerk for the Hon. Ian W. Claiborne, Chief Judge, 18th Judicial District Court (Louisiana). He also served as an extern law clerk for the Hon. Thomas M. Brahney, III, and the Hon. Thomas H. Kingsmill, Jr., United States Bankruptcy Court for the Eastern District of Louisiana.
