Patton Boggs LLP and the National 8(a) Association invite you to a conference to discuss dealing with problem 8(a) partners. We have had the opportunity to work with a number of ANCs (and Tribes) in dealing with potentially troublesome partners and arrangements. Given the on-going government investigations and the potential for more to come, we would like to share with the ANC community our experiences, advice and insights as to how to deal with these situations. To that end, we are offering an invitation-only, full day seminar on the subject on April 8, 2010 in Anchorage. Our seminar will provide an overview of the key considerations in the various types of partnering arrangements and a case study approach to dealing with problem partners. Topics include: In-depth look at the types of partnering arrangements which can give rise to problems (minority ownership, outside management, contracting – both joint ventures and subcontracts and mentoring) Specific types of problems that can and do arise in each of these arrangements Advice for unwinding problematic arrangements, including negotiation tactics, when to involve SBA, when to resort to arbitration, litigation, etc. How to structure contracts and legal documents to avoid such problems in the future and negotiating strategies to convince your partners to accept such arrangements Suggestions on due diligence techniques and sources to evaluate your potential and current business partners Discussion about how to undertake internal investigations in order to maximize the availability of the attorney client privilege and the utility of the results Click here for agenda (as of March 26) REGISTRATION Cost: $225 per person ($30 discount for National 8(a) Association members) Payable by check only.
