Robert Hager is Managing Partner of Patton Boggs’ office in Doha, Qatar. He represents clients in a wide range of infrastructure and technology matters, including telecommunication ventures, transportation infrastructure development, real estate development, privatizations, and public-private partnerships in the Middle East, West Africa, Europe, the Pacific Islands, and the United States.
Mr. Hager has served as counsel to governments, private companies, developers, lenders, borrowers, suppliers, engineering, and construction firms in projects and transactions finance supported by the World Bank, International Finance Corporation, the Export-Import Bank of the United States, and other international lending institutions.
As part of his regular responsibilities, Mr. Hager has prepared and negotiated joint venture agreements, financing documents, sponsor guarantees, engineering and procurement contracts, construction and consulting agreements, technical services agreements, supply agreements, operations and maintenance agreements, and host country enabling decrees.
In addition to his international experience, Mr. Hager has worked on a wide range of U.S. transactions including the private placement of equity and debt securities, mergers, acquisitions, the formation of new companies, and complex transactions involving the sales of good and services, technology transfer, and the protection of intellectual property.
Mr. Hager is the founding chairman of the American Chamber of Commerce in Qatar.
Representative Matters:
- Assisted Qatari Diar, Qatar’s largest real estate development company, in structuring its joint ventures, including a joint venture with one of the world’s most prominent construction companies.
- Represented the Government of the State of Qatar in connection with the Bahrain Causeway project, a proposed 41-kilometer causeway linking the State of Qatar with the Kingdom of Bahrain.
- Represented the New Doha International Airport on a variety of matters. This multi-billion dollar project is Qatar’s largest transportation infrastructure project to date.
- Provided counsel and legal guidance to Qatar Airways on corporate structural issues, construction projects, and various operational matters.
- As lead member of Patton Boggs team representing the Government of Guam, he was responsible for the preparation, authorizing legislation, and transactional implementation for the privatization of the Guam Telephone Authority.
- Represented a U.S. exporter in connection with structuring, negotiating, and documenting a $95 million Export-Import Bank facility supporting a seacoast protection and environmental project for the Port of Keta in the Republic of Ghana. Mr. Hager also represents a U.S. exporter in connection with structuring a $20 million rural electrification project.
- In connection with the project financing of a $1 billion oil and gas project in Africa, represented a foreign government oil and gas corporation, including a proposal for a follow-on project.
- Worked on several technology cases dealing with copyright and trade secret protection. He participated in one of the first U.S. cases concerning the liability of Internet service providers (ISPs) for alleged copyright infringement and misappropriation of trade secrets.
