Reid F. Herlihy advises clients in the financial services industry on state and federal regulatory compliance issues.

Mr. Herlihy works with clients that include mortgage companies, consumer finance companies, financial institutions and secondary market investors. His practice focuses on advising clients regarding state and federal licensing and approval requirements, including those related to stock and asset acquisitions. Mr. Herlihy also counsels clients on industry-specific laws concerning advertising, disclosures, record retention, business practices and corporate governance. He frequently prepares multistate regulatory surveys and analyses of matters pertaining to residential mortgage lending, brokering and servicing. In addition, he assists companies in implementing new state laws and regulations.

  • Managed ongoing licensing and compliance work for a national mortgage servicer.

  • Assisted a private investment company in the acquisition of a national mortgage lender and subsequent expansion of business operations. Obtained required approvals from state and federal regulators for the transaction.
  • Counseled a mortgage lender in establishing a multistate strategy to ensure compliance with new obligations imposed by the S.A.F.E. Act.
  • Assisted a reverse mortgage lender in expanding its operations to include all 50 states and Washington DC, and to include loan servicing capabilities.
  • Assisted an investment bank in establishing a national wholesale lending company. Provided advice regarding licensure strategy, initial operational overhead and state regulatory compliance.
  • Advised an Internet-based lead generator regarding licensing and other state regulatory requirements.
