Rob McCutchan advises diversified financial institutions, hedge funds, and other providers of capital on a wide range of corporate finance and other transactional matters. Mr. McCutchan’s deal-based practice focuses primarily on debt and equity investments in, and on mergers and acquisitions of, middle-market companies. While much of Mr. McCutchan’s recent work has involved investments in and acquisitions of privately-held entities, he has also represented both buyers and sellers of publicly-traded companies and entities investing in the same. In addition, he has served as both issuer and underwriter counsel on public offerings of debt and equity.
Mr. McCutchan’s clients include hedge funds, private equity funds, leveraged buyout funds, mezzanine investment funds, banks, insurance companies, business development companies, SBICs, and other financial institutions. He has particular experience advising institutions that seek to provide multiple tranches of financing in a single transaction, and, in connection with his transactional work, has analyzed many of the tax and regulatory issues that these capital providers face.
During his career, Mr. McCutchan has also served as special and general corporate counsel to a broad range of companies, including many of the portfolio companies in which his clients invest. This corporate counsel experience includes work for light and heavy manufacturers, food service distributors, computer chip manufacturers, media companies, and video game developers and publishers.

- Represented Blue Wolf Capital in connection with the acquisition and subsequent disposition of a Midwestern provider of hospital laundry services.
- Represented a dental care practice management company in connection with its sale to an affiliate of North Peak Capital and MGD Capital Partners.
- Represented American Capital Strategies in connection with the restructuring of a Sharia-compliant investment in a New York based low income dental practice management company.
- Represented The Peninsula Funds IV, L.P. in connection with the acquisition of the assets of Walpar, Inc., a leading provider of overhead road signage structures.
- Represented The Peninsula Funds IV, L.P. in connection with its debt and equity investment in Enforcement Video, L.L.C., a provider of in-car digital video equipment to law enforcement agencies.
- Represented a Dallas-based hedge fund in connection with its debt and equity investment in a leading developer of Mexican resort properties.
- Represented Goldman Sachs Specialty Lending Group, L.P. in connection with the purchase of common stock warrant in a Dallas based low income dental practice management company.
- Represented Goldman Sachs and its affiliates in connection with the acquisition of all of the outstanding stock of a Wisconsin based manufacturer of trailers and hitches for the trucking industry.
- Represented a high net worth individual in connection with the negotiation and structuring of a debt and equity investment in a publicly-traded medical device manufacturer for which he served as a member of the board of directors.
