Stephen Molina has broad domestic and international experience in upstream and downstream oil and gas, construction, insurance, project finance, medical, credit, automotive and the utilities industries. During his career he has been responsible for all manner of routine in-house legal work, and has proven expertise in litigation (first chair and management), complex transactions, NYSE, project finance, and corporate governance, with extensive insight and experience in Latin American and Middle Eastern transactions. In December 2005, Texas Governor Perry appointed him to the Interstate Oil & Gas Compact Commission. In 2007 he was made Chairman of the IOGCC International Affliates Committee.

Before joining Patton Boggs, Mr. Molina was the worldwide General Counsel to the Oman Oil Company, SAOC, in Muscat, Sultanate of Oman. 

He is also a former Vice President, General Counsel and Secretary for Benton Oil and Gas Company.   Benton’s principal assets were located in Venezuela and Western Siberia, Russian Federation. Mr. Molina also served as Vice President and General Counsel for Vastar Resources, Inc.; as Chief Counsel for ARCO Latin America, residing in Caracas, Venezuela; and as General Attorney for ARCO Oil and Gas Company, the Atlantic Richfield Company upstream, midstream and wholesale marketing operating company division. 

Representative Matters:

As General Counsel of the Oman Oil Company (OOC):
Responsible for all of OOC’s legal matters in and outside of Oman.
  • Supervised OOC’s legal department staff and outside counsel.
  • Responsible for legal due diligence.

As Vice President, General Counsel and Secretary for Benton Oil and Gas Company:
  • Member of executive management team that carried out successful relocation/reduction in force effort.
  • Traveled frequently to Russian Federation and Venezuela in support of large foreign operating companies.
  • Head of legal negotiating team that sold Russian gas company affiliate.
  • Held extensive corporate governance duties.

As Chief Counsel, ARCO Latin America, Caracas, Venezuela: 
  • Negotiated major acquisitions and joint ventures with the governments and state-owned oil companies of Venezuela, Colombia, and Trinidad and Tobago.
  • Represented company in Columbia, Peru, Ecuador, Bolivia, Argentina and Mexico in ongoing operations, supervised ARCO’s Latin America based attorneys, and directed corporate security in Latin America.

As Vice President General Counsel for Vastar Resources, Inc.
  • Responsible for all aspects of company’s legal affairs.

As General attorney for ARCO Oil and Gas Company (a division of Atlantic Richfield):
  • Responsible for all legal matters arising in this domestic exploration, production and wholesale marketing company and its large legal department.
  • Represented company in onshore/offshore engineering, procurement and construction contracting; producing property divestitures and acquisitions; all gas-related matters; litigation; leasing and purchasing of mineral interests, FERC matters, corporate governance; and state regulatory matters.
