Raymond Termini is a partner in the Abu Dhabi office of Patton Boggs and is also the resident partner in Patton Boggs’ office in Dubai. Mr. Termini is the firm’s resident United Arab Emirates real estate attorney and has written articles on the real property laws of the UAE. He assists clients in creating value for their real estate properties in the Arabian Gulf region and in the U.S.
Mr. Termini has represented clients in all areas of real estate, including acquisitions, sales, development, operations, management, leasing, financing, refinancing, and workouts (as borrower and as lender) of commercial properties. He works with clients to structure complex real estate transactions and develop the appropriate vehicle for reaching improved and unimproved real estate. His practice includes the formation of partnerships, limited liability companies, joint ventures, and corporations for the purpose of acquiring and developing real estate. Such matters include data centers and telecommunication facilities, office towers, regional shopping centers, hotels, restaurants, theaters, golf course development, and multi-family dwellings. Mr. Termini also counsels clients on general business matters involving the sale and acquisition of businesses, mergers, employment agreements, buy-sell agreements, and factoring and finance agreements.
Before joining Patton Boggs, Mr. Termini worked in Kuwait with a Dallas-based firm’s affiliated office, representing Kuwaiti and other clients in the preparation of claims for damages against Iraq pursuant to United Nations Security Council Resolutions.
Representative Matters
- Representation of an Abu Dhabi based developer in the formation of a joint venture for the development of residential, office, retail, and hotel buildings off the coast of Abu Dhabi.
- Representation of an Abu Dhabi and Dubai based developer in preparation of end user agreements for sale of residential and commercial units in multi-unit buildings located in Abu Dhabi.
- Provided legal services relating to documentation involving the formation of a private property fund pursuant to the laws of the Dubai International Financial Centre (DIFC).
- Representation of a major United States sports group in the development of an entertainment complex pursuant to development and lease agreements with several local governmental entities, which was awarded the Best Real Estate Deal of the Year 2005 – Community Impact by The Dallas Business Journal.
- Representation of a privately owned company in the land acquisition, re-zoning, financing, construction, development, management, and leasing of Elm Place, a 20-story office tower in downtown Dallas, which includes a hotel, movie theatre, restaurant, offices, and high-rise apartment facilities.
- Representation of a partnership with respect to the purchase of acreage for multi-use development and in the development and financing phases thereof, including a golf course and related improvements to be situated thereon.
- Representation of a New York-based Real Estate Investment Trust (REIT) in its acquisition of Dunkin’ Donuts franchise operations in several states.
- Representation of the largest privately owned theatre chain in the U.S. as tenant in the negotiation and preparation of leases in several states.
- Representation of the owners of two regional theatre chains in the sale of their stock to other theatre chains and in the seller financing with respect to a portion of the purchase prices.
- Representation of several insurance companies relative to the preparation of real estate loan documentation, workouts, foreclosures, and related matters with borrowers.
- Representation of a non-profit corporation in Dallas in the renovation of an eight-story office building, including the corporate work related thereto in order to effect a sale of historic tax credits related to said building.
- Representation of a limited partnership in the land acquisition and in the construction and permanent financing for a privately owned dormitory in College Station, Texas.
- Representation of an investor in the acquisition of stock in a company owning restaurants in Washington D.C., Texas, California, Oregon, Washington State, and Colorado.
- Representation of a Texas savings and loan association in the restructuring of its loans following its takeover by the FSLIC, including the restructuring of the ownership and the sale of various commercial properties owned by its real estate subsidiary.
