Sean Clancy is a member of the Tax and Employee Benefits practice groups at Patton Boggs. His principal areas of concentration include corporate taxation, the tax aspects of securitizations, and executive compensation. In addition to structuring tax-free and taxable corporate acquisitions and dispositions, Mr. Clancy regularly counsels issuers and underwriters on the tax issues arising in asset-backed securitizations, collateralized loan obligations, and trust structures.
His executive compensation practice ranges from designing tax-efficient nonqualified and equity-based compensation arrangements for senior executives to counseling companies and senior executives in matters relating to employment and termination/severance. Mr. Clancy routinely advises private and public companies on the implementation and operation of equity-based incentive plans.
Mr. Clancy also drafts tax legislation and assists clients on technical tax legislative and regulatory projects at the state and federal level.
Mr. Clancy serves as an Adjunct Professor in the Master of Laws in Taxation Program at Georgetown University Law Center, teaching an advanced course on executive compensation.
