Representative Matters:
  • Represented secured lender in structuring, negotiating and closing of acquisition and plan of reorganization financing for a group of seven inner-city hospitals located in Chicago, Los Angeles, St. Louis and Washington, DC.
  • Represented natural resources company in structuring, negotiating and closing of $200 million bank credit facility and $150 million acquisition bridge financing during the pendency of the company's initial public offering.
  • Represented publicly traded finance company in structuring, negotiating and closing of a $1 billion securitization of nonresidential commercial loan portfolio.
  • Served as Privatization Advisor to and represented the Government of Guam in all aspects of preparation for and sale of the Guam Telephone Authority (GTA); this transaction marked the privatization of the last government-owned local exchange carrier in the US and its territories. 
  • Represented a newly formed REIT on its $175 million Initial Public Offering and a national mortgage banking company on it $60 million acquisition by the REIT and its subsequent reorganization into a REIT structure.
