We represent investors, banks and other institutional lenders, owners and developers in the complete range of real estate matters, including:

Those clients rely on our firm’s public policy and procurement professionals to capitalize on opportunities or solve problems through interaction with legislative and executive branch officials.

Representative Matters
  • Represent JPMorgan Chase as successor in interest to Washington Mutual in connection with construction lending, work-outs, foreclosures and modifications of debt and post-default analysis and strategy. Many of these loans involve complexities associated with mid-construction defaults, syndicated debt and mezzanine financing. 
  • Provided legal services related to a real estate investment trust (REIT), formed to invest primarily in full-service hotels, in its initial public offering. 
  • Represent Lehman Brothers Bank FSB in the foreclosure/possible workout of a $108,750,000 loan secured by a 350 unit residential project in DC. 
  • Represented a major construction company in connection with the bond financing and development of the new NIH Biomedical Research Facility at Johns Hopkins University Bayview Campus in Baltimore, Maryland. 
  • Provided legal advice to the Department of Veterans Affairs for the structuring and financing of $200-million-worth of new facilities through public-private enhanced use lease structures on the grounds of three medical centers. These facilities included co-generation plants, office buildings, parking garages and mixed-use space. Current initiatives involve medical research buildings and mixed-use development. 
  • Acted as national trial and workout counsel to provide interpretation and litigation representation to insurance companies and credit enhancers providing credit facilities to syndicators/sponsors and developers of real estate. 
  • Counseled Merrill Lynch on the financing of a public/private development project for the main campus of Arizona State University in Phoenix. 
  • Represented a multi-billion dollar publicly-held real estate holding company in its Chapter 11 proceeding. The company held major interests in public and private subsidiaries and engaged in a wide range of businesses including insurance, savings and loan association, real estate public and private syndication, casinos, oil and gas, nursing home ownership and management, and construction. The case involved significant shareholder class actions and litigation with numerous government regulators. Plan of reorganization was confirmed at trial over objections. 
  • Represent a large Middle Eastern Sovereign Wealth Fund in connection with the restructure of its partnership investments and debt structure for a large portfolio of office buildings in downtown Austin, Texas involving the Lehman bankruptcy. 
  • Represented Clark Realty Capital, L.L.C., one of the largest privately-held firms in the U.S., with respect to privatized military housing at Fort Belvoir, Virginia. Special purpose vehicles established by our client acquired land and improvements at Fort Belvoir and are using the proceeds of a related financing to develop, construct and renovate over 2,000 military housing units at one of the Army’s most prestigious and important bases. 
  • Represented a major sports group in the public/private development of a 93-acre professional and amateur soccer complex, including a 22,000-seat stadium and 17 soccer fields, which opened in Frisco, Texas, in 2005. 
  • Represent Capital Source Finance in the restructure of a $29,000,000 construction loan for a mixed use project in Dallas, Texas. 
  • Represented the Puerto Rico Public Housing Administration (PRPHA) in a $663 million tax-exempt bond financing built upon an innovative program whereby public housing authorities (PHAs) obtain debt financing secured by their future Capital Grant receipts, which are paid by HUD and subject to Congressional appropriations. 
  • Acted as general counsel providing legal advice on the redevelopment effort of the University of Colorado’s Health Sciences Center. The project involved the expenditure of more than $5 billion in public and private funds, involving the construction of a new medical center campus, including three full service hospitals, teaching and research facilities, a biotechnology research park and related infrastructure development.
