Terrance Bessey represents private equity funds, their portfolio companies and other clients in connection with corporate acquisitions and divestitures, including mergers and stock and asset transfers, and financing transactions. He has extensive experience representing issuers in public offerings of debt and equity securities, and in advising public companies on their securities regulatory compliance obligations.
Mr. Bessey has more than twenty years of experience assisting clients, including venture capital investors, acquirers in leveraged transactions, and borrowers in senior secured and mezzanine debt financings. He also spent five years as in-house counsel to two telecommunications companies.
Representative Matters:
- Represented a private equity fund in the $145 million sale of a portfolio company to a Canadian income trust and the related tender offer for $220 million of that company’s publicly-traded debt securities.
- Represented a publicly-traded heavy equipment manufacturer in the negotiation of its $120 million term and revolving credit facility. Presented to the board of directors of that company an introduction to their obligations under the Sarbanes-Oxley Act of 2002.
- Represented a private equity fund in the acquisition of a subsidiary of a Fortune 100 company, and the follow on acquisition of that subsidiary’s largest competitor.
